® MEMBERSHIP TERMS AND CONDITIONS

Important Notices:

(1) If you are under the age of 16 you are eligible to become a member of The Child Smile Network, however, no personal information may be disclosed without written parental consent.

(2) A membership in The Child Smile Network (“CSN”) will allow members (“Members”) the opportunity to receive benefits and incentives from participating businesses.

(3) Businesses enrolling as network partners of CSN ("Partners") are independent businesses that have signed a partnership agreement with CSN.

(4) CSN is a loyalty program which is operated by Child Smile Marketing Services Inc. (“CSMS”). In accepting to join or continue your CSN membership, you acknowledge that CSMS or CSN assume no contractual or legal responsibility to you. CSMS specifically reserves the right to amend, alter, withdraw or terminate The Child Smile Network “CSN” (in whole or in part), any program, benefit or award or these rules either with or without notice.

Terms and Conditions
In particular, you acknowledge as a condition of continued membership:

1) The Child Smile Network membership is limited to natural persons and no corporation, trust, partnership or other entity may hold membership in the CSN. A Member must enroll individually, only once, and in his/her full legal name. Membership is solely for the benefit of the individual; therefore it will be maintained in the name of an individual;

2) Members should have internet access and a valid e-mail account to be eligible to receive the privileges, services and benefits. CSMS is not responsible for any inability to connect to the internet, log into www.childsmiles.com website, and access your account or for any other technical or operational complication preventing members from accomplishing their intended tasks.

3) CSMS reserves the right to change its software as deemed necessary at its sole discretion to maintain quality service to its Members. It is recommended that Members use and maintain software compatible with CSN website. It is also recommended that Members allow the use of "Cookies" to enhance the web visit;

4) CSMS assumes no liability to members whatsoever, including without limitation, liability by reason of the termination of or amendment to CSN in whole or in part, the addition or deletion of Partners with or without notice. CSN reserves the right to alter, amend or otherwise change the CSN at its sole discretion;

5) CSMS and CSN makes, or assumes, no guarantees or warranties for the products and/or services purchased at participating Partners’ businesses, or to the accuracy of the paid advertising or statements provided by the Partners. In no event shall CSN be liable to any member, Partner or any other third party in contract, tort, negligence or otherwise, be responsible for any loss or damage whatsoever arising from or in any way connected with the use of The Child Smile Network, whether direct or indirect, including without limitation, damage for any loss of business or profits, or indirect, special, incidental or consequential damages arising out of or in connection with CSN.

6) Members shall indemnify and hold CSMS and CSN (and its Partners, advertisers and providers) harmless from and against any and all losses, damages, liabilities, costs and expenses (including without limitation, reasonable legal fees) arising from: (a) any breach by a member of these Terms and Conditions; (b) any member-generated content; (c) any claims attributable to a member's improper or illegal use of his or her account or membership in CSN; and (d) any claims relating to a member's improper use of his or her account with CSN;

7) Any individual using stolen or fraudulent, illegal or misleading information or method of conducting monetary transactions will be prosecuted to the fullest extent of the law;

8) CSN membership is a privilege which can be revoked by CSN at its discretion at any time and without compensation including without limitation, abuse by the member of any of the Terms and Conditions of the program or any other actions deemed by CSMS, acting in its sole discretion, to be deleterious to CSMS, the CSN or the interests of its Partners;

9) CSMS shall be under no obligation to continue the CSN or to provide any notice of its termination;

10) Each Member shall be responsible for advising CSMS of any change of address. CSMS shall not be liable for misdirected mail, or any consequences thereof;

11) Your account information may only be given to you or a person designated by you in writing as defined earlier or pursuant to a court order or request from a government agency holding legislative power to compel such disclosure;

12) CSN membership terminates upon death of the member;

13) CSMS will be the final authority as to the interpretation of these Terms and Conditions.

14) CSMS and CSN and this agreement shall be governed by the laws of Ontario and the laws of Canada applicable therein. Any disputes regarding this agreement or the CSN or in any way arising out of CSN membership, rewards claimed or received, whether through the CSN sweepstakes or otherwise, shall be submitted to the courts of Ontario whose courts shall have exclusive jurisdiction to hear such disputes.

15) The Child Smile Network is a registered word mark of CSMS. Any use of this word mark without written consent of the registered owner is prohibited. Members are permitted to use this material or content only as expressly described herein or in any other agreement entered into by such members and CSMS. Members may not copy, reproduce, transmit, distribute, commercially exploit or create derivative works of such material or content.

16) All Members are encouraged to activate their CSN Membership Card as soon as practical after receipt to receive all of the benefits associated with the CSN. Activation can be completed online at www.ChildSmile.com. The membership experience is enhanced if all requested information is provided.

Membership Privacy Guarantee

Information collected through CSN remains the property of CSMS. Basic demographic information is shared with our participating Partner for marketing and promotional purposes. Pursuant to Privacy Laws, no personally identifiable membership information shall be sold, leased or otherwise provided to outside organizations or to our Partners. Your personal file is password protected. Should you forget your password, please e-mail Password@childsmile.com and we will send you password to the e-mail account on file. Please keep your membership password confidential to prevent un-authorized access to your account information.

Monitoring for Appropriate Content
CSMS monitors all links on our website and reserves the right to terminate any member should that member uses the website in a manner deemed demeaning or inappropriate to the CSN, CSN or any explicit sector of the general public. Examples of such inappropriate use include, without limitation, the dissemination of:

lewd, pornographic or sexually explicit material or references to organizations associated with such activities;
material demeaning to any race, religion or gender; or
material encouraging the illegal use of drugs, alcohol, fire arms, tobacco or other potentially harmful activities.

CSMS will make every effort to survey and monitor posted material regularly. Notwithstanding, CSMS will be held harmless for all material presented or posted by members, Partners or individuals. If you encounter a link that you believe contains inappropriate content, please advise us immediately at Membership@childsmile.com.

Opting-In
By providing your e-mail address on this application form, you are opting in for our regular e-mail newsletters that provide ongoing information on CSN, our Partners and membership information. To opt-out of this e-mail notification program, please send a letter, including your membership number, to the address below. By opting out, the member hereby acknowledges that such member will no longer be able to receive promotional material that may be of benefit to them.
